What is the annual Confirmation Statement and do I need to submit one?
Every Company and LLP has an annual requirement to submit a Confirmation Statement to Companies House. This confirms that all the information held there is correct and up to date, including your registered office address, officers, business activity, share capital and shareholders.
Why do I need to prepare and maintain minutes?
It is a legal requirement to maintain an accurate and complete minute book. This is to ensure that there is evidence and a formal record of the decisions made and approved by the Board and Shareholders. Minutes are also often required for Due Diligence and various legal transactions.
What is the PSC (Persons with Significant Control) register?
All Companies are required to keep a register of the people who can influence or control a company. The PSC register should be updated when there are any changes to the ownership structure which result in a shift in company control.
How do I record a transfer of shares in the Company?
The Board of Directors approve the transfer of shares and seeks shareholder approval if required under the Articles of Association. You need to complete a Stock Transfer Form, signed by the transferor, and make any required stamp duty payments. The Register of Members is then updated to reflect the change in shareholding, and the PSC (Persons with Significant Control) records are updated if there is a change in company control. The Companies House records will be updated when the next Confirmation Statement is submitted to Companies House.
